Article I
Name
The name of this organization shall be Known as the Ladies Auxiliary of the Atwood Yacht Club of Sherrodsville, Carroll County, Ohio
Article II
Purpose
The purpose of this organization shall be to aid and support (in a subsidiary capacity) the aims and objectives of the Atwood Yacht Club and to promote camaraderie among the members.
Article III
Membership
Membership in the Ladies Auxiliary at the Atwood Yacht Club shall be limited to active, senior and junior women members, or those whose husbands are active, senior or junior members.
Dues may be established by the Officers and Board Members to cover membership expenses, if deemed necessary
Article IV
Officers
The Officers of the Ladies Auxiliary will be elected at the Annual Meeting in December for a period of one year.
- The President will preside at all meetings of the organization and shall be ex-officio member of all committees except the nominating committee.
- The Vice-President shall perform all duties of the President in her absence and any duties as the President and Board may designate.
- The Secretary-Treasurer shall keep minutes of all meetings and submit to the Officers and Board for approval She shall deposit all monies in a bank designated by the Officers and Board. She shall present statements to the Board at its periodic meetings and an annual report to the members at their December meeting. The books of the Treasurer shall be audited annually before the annual meeting by an auditing committee appointed by the President. The Treasurer shall submit a written report to be published in the newsletter two times annually in May and November. She shall make no disbursements except by voucher authorized by the Auxiliary Board and signed by the President. Transfer of records shall be made to the new Secretary-Treasurer at the annual meeting in December.
Article V
Board of Directors
The Board of Directors shall consiste of the Officers of the Auxiliary, and the three previous Presidents.
The elected officers shall appoint such additional directors, not exceeding six (6) as hey deem necessary to carry on the work of the Auxiliary.
Article VI
Disbursement of Proceeds from Special Projects
At the organizational planning meeting in January, it shall be decided by the Officers and Board the number and kind of projects to be undertaken during the year and (very important) approval of the projects by the official Officers and Board of the Atwood Yacht Club Ladies Auxiliary, and other such projects as deemed necessary.
Robert's Rules of Order shall govern the organization in all cases to which they are applicable.
